I'm looking for a form of Software License SLA to support joint development of software with a vendor. The vendor will own its original content, but my organization will jointly own the newly devloped extension of the existing software.

Goal is to prevent the vendor from reselling the extended software--for competitive reasons. We don't care if the vendor develops the same functionality on its own, but we don't want the vendor to "lift" our code.

Anyone?
